1. Definitions
- "Services" means all products and services offered by ThriveManagement.ai, including but not limited to AI business coaching, AI voice agents (sales and customer service), full-stack marketing services, web design and landing page creation, and Google Ads management.
- "Client" means any individual, sole proprietor, or business entity that engages ThriveManagement.ai for any Service.
- "Order Form" / "Service Agreement" means any written or electronic agreement, invoice, or proposal specifying the Services to be delivered and the associated fees.
- "Deliverables" means any work product created by ThriveManagement.ai and delivered to Client, including website files, ad creatives, written strategies, and reports.
- "Client Content" means all materials, data, images, copy, and information provided by Client to ThriveManagement.ai for use in delivering the Services.
- "AI Tools" means any artificial intelligence platforms, large language models, voice synthesis engines, or automation software used by ThriveManagement.ai in delivering Services, including tools powered by OpenAI, ElevenLabs, Google AI, and similar providers.
2. Our Services
ThriveManagement.ai provides the following categories of services to small and mid-sized business owners and sole proprietors:
- AI Business Coaching & Implementation — Personalized consulting to help businesses identify, implement, and optimize AI tools to reduce cost, save time, and increase revenue
- AI Voice Agents — Deployment and management of AI-powered phone agents for sales outreach and inbound customer service, powered by ElevenLabs voice technology
- Full-Stack Marketing Services — Including web design, high-converting landing pages, Google Ads campaign creation and management, and AI-optimized copywriting
- Client Reporting Dashboard — A proprietary reporting portal providing Clients with real-time visibility into service performance, KPIs, and campaign metrics
Specific deliverables, timelines, and pricing for each Service are set forth in the applicable Order Form or Service Agreement executed between the parties.
3. Engagement & Onboarding
All engagements begin with a Free AI Assessment, during which ThriveManagement.ai will assess your business's current state, goals, and opportunities. This assessment is provided at no charge and creates no obligation to purchase any Service.
Upon completion of the assessment, if you choose to engage our services:
- We will provide a written Service Agreement or Order Form outlining scope, deliverables, timeline, and fees
- Your engagement begins upon your signed acceptance and receipt of initial payment
- You are responsible for providing complete, accurate, and timely Client Content required for service delivery
- Delays caused by late or incomplete delivery of Client Content may affect delivery timelines and do not entitle you to a refund
4. Fees & Payment
4.1 Subscription Services
Recurring monthly subscription services (including AI Voice Agents and ongoing marketing retainers) are billed monthly in advance on the date of initial enrollment. Current pricing for AI Voice Agent plans:
- Sales Agent: $397/month (includes 500 minutes; $0.18/min overage)
- Customer Service Agent: $597/month (includes 1,000 minutes; $0.15/min overage)
- Sales + Service Bundle: $897/month (includes 2,000 minutes; $0.12/min overage)
Marketing retainer and Google Ads management fees are set forth in your individual Service Agreement.
4.2 Project-Based Services
Web design, landing page development, and one-time AI implementation projects are billed according to the project scope in your Service Agreement. A deposit of 50% is required to begin project work, with the remaining balance due upon project completion and before final file delivery.
4.3 Google Ads Management
Google Ads management fees cover our management services only. Google Ads spend (your ad budget) is billed separately and directly to your Google Ads account. You are solely responsible for your ad spend budget.
4.4 Overage Fees
For voice agent plans, if your monthly minute usage exceeds the included allotment, overage charges will be calculated at the applicable per-minute rate and added to the following month's invoice.
4.5 Late Payment
Invoices unpaid after 7 days of the due date may result in service suspension. Invoices unpaid after 30 days may result in account termination. A late fee of 1.5% per month (18% annually) may be applied to overdue balances.
4.6 Taxes
All fees are exclusive of applicable taxes. You are responsible for any sales tax, use tax, VAT, or similar taxes imposed by your jurisdiction.
5. Cancellation & Refunds
5.1 Monthly Subscriptions
You may cancel any monthly subscription at any time by providing written notice to hello@thrivemanagement.ai at least 7 days before your next billing date. Cancellation takes effect at the end of the current billing period. No refunds or pro-rata credits are issued for unused portions of the current billing month.
5.2 Project-Based Work
If you cancel a project after work has commenced:
- The initial 50% deposit is non-refundable once work has begun
- You will be invoiced for all work completed up to the point of cancellation at our standard hourly rate
- All completed Deliverables will be provided to you upon payment of any outstanding balance
5.3 Free Assessment
The Free AI Assessment is provided at no charge and may be cancelled or rescheduled at any time without penalty.
5.4 Service Dissatisfaction
If you are dissatisfied with a Deliverable, please notify us within 5 business days of delivery. We will make reasonable revisions as outlined in your Service Agreement. Dissatisfaction with business outcomes or AI performance does not constitute grounds for a refund, as results depend on many factors outside our control.
6. AI Coaching Services
6.1 Nature of Coaching
Our AI coaching services are educational and advisory in nature. ThriveManagement.ai coaches and consultants provide guidance, frameworks, and recommendations based on AI industry knowledge and your specific business situation. Coaching is not legal, financial, accounting, or medical advice.
6.2 No Guaranteed Outcomes
Business results vary based on numerous factors including market conditions, your team's execution, competitive environment, and the specific AI tools deployed. ThriveManagement.ai makes no guarantee of specific revenue increases, cost reductions, or other business outcomes.
6.3 AI Tool Recommendations
We may recommend specific third-party AI tools and platforms. We are not responsible for the performance, pricing changes, terms modifications, or discontinuation of any third-party tool. Any relationship you enter into with a third-party tool provider is solely between you and that provider.
6.4 Client Responsibilities
To maximize the value of coaching services, you agree to:
- Actively participate in scheduled sessions and complete agreed-upon action items
- Provide accurate information about your business for assessment and strategy purposes
- Implement recommendations in good faith and report back on results
- Maintain subscriptions to any third-party AI tools necessary for your implementation
7. AI Voice Agent Services
7.1 Your Compliance Obligation
You, as the business owner deploying AI voice agents, are solely responsible for ensuring that your use of AI voice calling complies with all applicable laws and regulations, including but not limited to:
- The Telephone Consumer Protection Act (TCPA)
- Federal and state Do Not Call (DNC) registry requirements
- State-specific call recording consent laws (one-party vs. two-party consent)
- The FTC's Telemarketing Sales Rule (TSR)
- Any industry-specific regulations applicable to your business
ThriveManagement.ai provides the technical infrastructure and management but does not provide legal compliance advice. You are strongly encouraged to consult with a telecommunications attorney before deploying any outbound AI calling campaigns.
7.2 Prohibited Uses
You may not use our AI Voice Agent services to:
- Contact individuals on Do Not Call registries without proper consent
- Make false or misleading representations about your business or products
- Engage in any deceptive, abusive, or harassing calling practices
- Impersonate a human without disclosure when directly asked if the caller is a human or AI
- Violate any applicable federal, state, or local laws
7.3 Minute Overages
Your plan includes a set number of monthly minutes. Usage in excess of your plan's included minutes will be billed at the applicable per-minute overage rate set forth in Section 4.
7.4 Third-Party Platform Terms
AI voice services are powered by ElevenLabs and other platforms. Use of these services is subject to their respective terms of service, which you are responsible for reviewing and complying with.
8. Marketing & Google Ads Services
8.1 Google Ads Management
We manage Google Ads campaigns on your behalf using your Google Ads account. You grant us access to your account for management purposes only. You retain full ownership of your Google Ads account, historical data, and accumulated Quality Scores at all times.
8.2 Ad Spend
We do not handle your ad spend budget directly. Your Google Ads budget is managed within your own account and billed directly by Google. Our management fee covers campaign strategy, setup, optimization, A/B testing, and monthly reporting.
8.3 Performance Expectations
Digital advertising performance depends on many variables including market competition, budget size, industry, offer quality, and platform algorithm changes. We cannot guarantee specific click-through rates, conversion rates, or return on ad spend (ROAS).
8.4 Client Approval
We will seek your approval for significant campaign changes, new ad creatives, and budget recommendations. You are responsible for reviewing and approving all ad copy before publication.
8.5 Content Accuracy
You warrant that all marketing content, claims, and offers you ask us to promote are accurate, truthful, and compliant with applicable advertising laws and platform policies.
9. Web Design & Landing Page Services
9.1 Scope & Revisions
The scope of web design projects, including number of pages and revision rounds, is defined in your Service Agreement. Standard projects include two rounds of revisions. Additional revisions beyond the agreed scope will be billed at our standard hourly rate.
9.2 Client Content
You are responsible for providing all required content (text, images, logos, brand guidelines) in a timely manner. We are not responsible for project delays caused by late delivery of Client Content. Stock photography and AI-generated imagery may be used in mockups and final deliverables as agreed.
9.3 Hosting & Domain
Unless otherwise specified, we do not provide website hosting or domain registration. We will deliver completed website files to you for deployment on your preferred hosting platform. If hosting and domain management are included in your plan, the terms will be specified in your Service Agreement.
9.4 Third-Party Licenses
Final Deliverables may include fonts, plugins, or stock images licensed from third parties. You are responsible for maintaining any required ongoing licenses for these assets after project delivery.
9.5 Ownership Transfer
Upon receipt of full payment, all custom design files and code created for your project are transferred to you. ThriveManagement.ai retains the right to display the work in our portfolio unless you request otherwise in writing.
10. Intellectual Property
10.1 Client Ownership
Upon full payment of all fees, you own all custom Deliverables created specifically for your engagement, including website designs, ad creatives, written strategy documents, and custom automations.
10.2 ThriveManagement.ai Ownership
ThriveManagement.ai retains ownership of:
- Our proprietary methodologies, frameworks, and processes
- Pre-existing tools, templates, and systems used in delivery
- Our reporting dashboard software and infrastructure
- All intellectual property developed independently of your engagement
10.3 License to Client Content
You grant ThriveManagement.ai a non-exclusive, royalty-free license to use Client Content solely for the purpose of delivering the Services. We will not use your business information, branding, or proprietary data for any other purpose without your consent.
10.4 Portfolio Rights
ThriveManagement.ai reserves the right to reference your business name and general description of services provided in our marketing materials and portfolio, unless you request confidentiality in writing.
11. Confidentiality
Each party agrees to hold the other's confidential information in strict confidence and not to disclose it to any third party without prior written consent, except as required by law or necessary to deliver the Services.
"Confidential Information" includes business strategies, financial data, customer lists, proprietary processes, and any information designated as confidential. This obligation survives termination of any service engagement for a period of 3 years.
ThriveManagement.ai will not share your business information with third parties other than those necessary to deliver your Services (e.g., ad platforms, AI tool providers). All such vendors are subject to confidentiality obligations.
12. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:
- ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED
- WE DO NOT WARRANT THAT OUR SERVICES WILL MEET YOUR SPECIFIC BUSINESS REQUIREMENTS OR ACHIEVE PARTICULAR FINANCIAL OUTCOMES
- AI-GENERATED CONTENT, STRATEGIES, AND RECOMMENDATIONS ARE ADVISORY IN NATURE AND MAY CONTAIN ERRORS OR INACCURACIES
- WE DO NOT WARRANT THE CONTINUOUS, UNINTERRUPTED AVAILABILITY OF ANY AI PLATFORM OR THIRD-PARTY SERVICE USED IN DELIVERING OUR SERVICES
- RESULTS FROM DIGITAL ADVERTISING, AI IMPLEMENTATION, AND BUSINESS COACHING VARY BY CLIENT AND ARE NOT GUARANTEED
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THRIVEMANAGEMENT.AI AND ITS OWNERS, EMPLOYEES, CONTRACTORS, AND PARTNERS SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, consequential, special, or punitive damages
- Lost profits, lost revenue, lost business opportunity, or loss of goodwill
- Damages arising from your reliance on AI-generated recommendations or outputs
- Damages arising from third-party platform outages, algorithm changes, or policy changes (including Google Ads, ElevenLabs, or any other platform)
- Damages arising from your failure to comply with applicable laws in your use of our services
IN ALL CASES, THRIVEMANAGEMENT.AI'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO THRIVEMANAGEMENT.AI IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
14. Indemnification
You agree to indemnify, defend, and hold harmless ThriveManagement.ai and its owners, employees, contractors, and partners from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of our Services in violation of these Terms or applicable law
- Your use of AI voice agents in violation of the TCPA, DNC regulations, or other applicable calling laws
- Any Client Content you provide to us that infringes a third party's intellectual property or privacy rights
- Any false, misleading, or unlawful claims made in marketing materials you approved
- Your breach of any representation, warranty, or obligation under these Terms
15. Termination
15.1 Termination by Client
You may terminate monthly subscription services as set forth in Section 5. You may terminate project-based engagements with written notice, subject to payment for work completed.
15.2 Termination by ThriveManagement.ai
We may suspend or terminate your access to our services immediately, without prior notice, if:
- You breach any material provision of these Terms
- Payment is overdue by more than 30 days
- We determine that your use of our services poses legal, regulatory, or reputational risk
- You use our services for any prohibited or unlawful purpose
15.3 Effect of Termination
Upon termination, your right to use our services ends immediately. We will deliver any completed Deliverables upon receipt of all outstanding payments. Sections 10, 11, 12, 13, 14, 16, and 17 survive termination of these Terms.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which ThriveManagement.ai is registered, without regard to conflict of law principles. Any legal action arising from or related to these Terms shall be brought exclusively in the appropriate state or federal courts of that jurisdiction, and you consent to personal jurisdiction therein.
17. Dispute Resolution
17.1 Informal Resolution
Before filing any formal legal claim, you agree to contact us in good faith at hello@thrivemanagement.ai and attempt to resolve the dispute informally for at least 30 days. Most disputes can be resolved quickly and fairly this way.
17.2 Binding Arbitration
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or our Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, rather than in court. The arbitration shall be conducted in English. The arbitrator's decision shall be final and binding.
17.3 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.
17.4 Exceptions
Notwithstanding the above, either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.
18. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will:
- Update the "Last Updated" date at the top of this page
- Notify active clients by email at least 14 days before changes take effect
- Post a notice on our website for 30 days following any material update
Your continued use of our services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using our services and notify us of your cancellation.
